 **END-USER LICENSE AGREEMENT (EULA)**

This End-User License Agreement ("Agreement") is a legal contract between you (either an individual or a single entity) and Aura Innovations LLC ("Licensor") for the use of any of our software product ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License:

Subject to the terms and conditions of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software for personal or internal business purposes.

2. Ownership:

The Software and any accompanying documentation are and will remain the sole and exclusive property of Licensor. This Agreement does not convey to you any ownership interest in the Software, but only the right to use it as specified herein.

3. Restrictions:

You may not:
a) Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, except to the extent that such restriction is expressly prohibited by applicable law.
b) Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Software or any copies thereof.
c) Distribute, sub license, rent, lease, loan, or otherwise make the Software available to any third party.

4.  Use Rights: 

You may:

a) use copies of the software to develop and test your applications.

b) Demo Use. The uses permitted above include use of the software in demonstrating your applications. 

c) You may develop and extend functionality of the software to your needs.

5. Support and Updates:

Licensor may provide you with support services related to the Software. Updates to the Software may be provided from time to time, and your continued use of the Software is conditioned upon the installation of such updates.

5. Warranty Disclaimer:

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability:

UNDER NO CIRCUMSTANCES SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SOFTWARE, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflicts of law principles.

8. Entire Agreement:

This Agreement constitutes the entire agreement between you and Licensor concerning the subject matter hereof and supersedes all prior or contemporaneous understandings, whether written or oral.

9. Severability:

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

By installing the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
